Jeff Bezos to Sell Up to $4.1bn in Amazon Shares

Amazon founder Jeff Bezos has filed regulatory paperwork to sell as many as 15 million shares of the e-commerce giant, a transaction valued at approximately $4.1 billion at the price indicated in the filing.

The planned sale was disclosed through a Form 144 filing with the United States Securities and Exchange Commission on Monday, August 3, according to reports on the transaction.

The filing comes after a strong period for Amazon shares, with the company recently crossing the $3 trillion market capitalization threshold following its second-quarter results.

The proposed disposal is being carried out under a Rule 10b5-1 trading arrangement, which allows corporate insiders to establish predetermined plans for selling shares. Such arrangements are designed to permit transactions according to conditions established in advance rather than decisions made in response to potentially material non-public information.

Bezos has already begun selling shares under the plan. Regulatory disclosures cited by financial media showed that the Amazon founder sold shares worth nearly $350 million in an initial transaction, marking his first reported Amazon stock sale of 2026.

The planned sale of up to 15 million shares would nevertheless represent only a small portion of Amazon’s outstanding stock and Bezos’ overall holdings in the company he founded in 1994.

Bezos stepped down as Amazon’s chief executive in 2021 but remains the company’s founder and executive chair. He has sold billions of dollars’ worth of Amazon shares over the years while maintaining a substantial stake in the company.

Previous Amazon regulatory filings show that large, predetermined share-sale programmes are not unusual for Bezos. For example, an earlier Rule 10b5-1 plan adopted in November 2023 authorised him to sell as many as 50 million Amazon shares through January 2025.

Proceeds from Bezos’ previous Amazon stock sales have coincided with significant investments in other ventures, including his aerospace company Blue Origin, alongside philanthropic initiatives and other investments.

The latest filing attracted attention on Wall Street because of its size and timing, coming as Amazon shares traded near record levels following the company’s recent rally.

Despite the multibillion-dollar figure involved, the transaction does not amount to Bezos exiting Amazon. He remains one of the company’s largest shareholders, meaning much of his personal wealth continues to be closely linked to Amazon’s market performance.
