AVA Capital debuts on NGX through listing by introduction

AVA Capital Plc, an integrated financial services group, says it will be admitted to the Nigerian Exchange Ltd. (NGX) on July 31 through a listing by introduction, marking its transition into the public market.

The company disclosed this in a statement on Tuesday, noting that the admission represents a strategic milestone in its corporate growth and is not intended to raise fresh capital.

The Managing Director of AVA Capital, Mr Olukayode Fadahunsi, said that unlike an Initial Public Offering (IPO), the Listing by Introduction would not involve the issuance of new shares.

Fadahunsi, however, said it would strengthen the company’s market visibility, corporate governance and shareholder engagement.

According to him, the listing reflects AVA Capital’s long-term institutional ambitions and aligns its operations with the governance and disclosure standards required of publicly quoted companies.

Fadahunsi said the company already met the NGX free-float requirement, with about 20 per cent of its issued shares held outside the controlling shareholder structure.

He said the group had built an integrated financial services platform through its subsidiaries, AVA Global Asset Managers, AVA Securities and AVA Trustees, and structured transactions valued at more than N500 billion during the 2025/2026 financial year.

He added that the group operates across multiple regulated business lines under the supervision of the Securities and Exchange Commission (SEC).

Fadahunsi recalled that AVA Capital had earlier marked the launch of the AVA Infrastructure Fund with a ceremonial closing gong at the Nigerian Exchange.

He described the admission as a natural progression in the company’s evolution.

“Our admission to the Nigerian Exchange is a natural progression in AVA Capital’s evolution as a long-term institution.

“We are stepping into the public market with a solid foundation, an established platform and a commitment to transparency.

“This is about cementing our place in Nigeria’s financial landscape and building a foundation for sustained growth.

“The public markets expect us to be open, disciplined and responsible, and we see these as strengths that help our institution grow stronger over time.”

Fadahunsi said the success of the listing would be measured by the quality of investor participation, shareholder engagement and long-term value creation rather than fundraising outcomes.

He added that the listing of indigenous financial institutions such as AVA Capital reflects the growing emphasis on stronger corporate governance, market formalization, and broader institutional participation in Nigeria’s capital market.
